Bizman.io, herein referred to as the “Product”, is a project management, collaboration, and time tracking tool designed to boost team productivity and help teams work together efficiently.


These terms of Service, hereinafter referred to as the “Agreement," is entered into by and between SR Professional Marketing INC (“SR Pro”), the Provider, a company organized and existing under the laws of [State/Country], with its principal place of business at [Address], and [Client's Name], located at [Address], hereinafter referred to as the "Client" or “The Client”. The agreement is effective as of the date the parties enter into an Order Form incorporating these terms (the “Effective Date”).

If you do not agree to comply with, and be bound by, these terms, please do not accept these terms or access or use Bizman.io.




I. The Service

The Bizman.io offers users a web-based business management platform with a work management tool, task management tool and a secure password-sharing system, and enables them to track their time spent on various tasks and projects. SR Pro will make the Service available to The Client during the applicable Subscription Term in accordance to this Agreement. Bizman.io Services are provided only for the commercial use of The Client, not for private use. Client agrees that its use of the Service under this Agreement is not contingent on the delivery of future features or functionality.

II. Eligibility

You must be at least 18 years old to use the Bizman.io. You must provide a valid email address, and any other required information to complete the registration process.

III. Use of the Product

By creating an account (“Account”) and registering to Bizman.io you become SR PRO client, either individually or on behalf of your employer or any entity, on behalf of whom you created the Account. When using the Product, you may be able to specify certain End Users as Administrators or Admin, who will have important rights and controls over your use of Bizman.io. The Client is responsible for the use of the Service by its end users, including without limitation, determining the level of access and privilege each end user has to the Product. Client agrees that the Provider’s responsibilities do not extend to the internal management or administration of the Bizman.io for the Client.

IV. Relationship of the Parties

SR Pro is an independent contractor, not Client’s agent, partner, joint venturer, or fiduciary. No right or cause of action for any third party is created by the terms under this Agreement or any transaction under it.

V. Access Rights

The Provider will grant The Client a non-exclusive, non-transferable license to access and use their Product during the applicable Subscription Term. Client's authorized users shall have access to the Product through individual user accounts.

VI. User Responsibility:

The Client may only use the Product during the course of the Subscription term, solely for their internal business purposes. The Client is solely liable and responsible for understanding the Product’s settings, roles, privileges, and controls, as well as takes responsibility for the activities of all of its Users, including how users use their customer data.

VII. Confidentiality

The Provider agrees to hold every detail of the product development for the Client as proprietary and confidential. Client acknowledges that Provider may store and process their data in accordance with applicable data protection laws. The Provider will implement and maintain reasonable administrative, organizational, and technical safeguards designed for the protection, confidentiality, and integrity of Customer Data. No aspect, product details, assets, or any confidential information provided to the Provider by the Client shall be disclosed to any party without prior written consent from the Client, except as required by law or as necessary to provide the platform services. To be more specific, "Confidential Information" refers to any non-public information disclosed by either party to the other party, either directly or indirectly, during the term of this Agreement. Confidential Information does not include information that is publicly available or becomes publicly available through no fault of the receiving party.

VIII. Obligations

Both parties agree to keep the Confidential Information confidential and use it solely for the purposes of this Agreement.

IX. Payment Terms

Client agrees to pay SR Pro the fees specified in the attached pricing schedule. The fees shall be paid on a [monthly/annual] basis and are subject to any applicable taxes. Client is responsible for providing complete and accurate billing information to SR Pro, including the purchase order number at the time of purchase if they require one.

X. Late Payments

In the event that any payment is not received within [Number of Days] days following the due date, SR Pro reserves the right to suspend or terminate Client's access to the platform, without any liability. Amounts due are payable in the currency set forth in the applicable invoice and are non-cancelable and non-refundable unless otherwise provided in this Agreement.

XI.

Auto Renewal Unless otherwise stated in the applicable Order Form, Client agrees that its Subscription includes an automatic renewal option by default. This is to ensure that Client will not experience any interruption or loss of services. Hence, unless Client disables the auto-renewal option or terminates or cancels its Subscription at least thirty (30) days prior to the Renewal Date, the Subscription will automatically renew upon the end of the then-current Subscription Term

XII. Intellectual Property

Client acknowledges that all intellectual property rights associated with the Product belong to SR Pro, including but not limited to patents, copyrights, trademarks, and any enhancements made to the Product. The Product use of the Client will not affect the ownership or license rights of SR Pro to the Product.

XIII. Customer Ownership

Client retains all right, title and interest in and to Client’s Customer Data. However, Client access to the Data is contingent on full payment of the Bizman.io’s Account Subscription Fee and applicable Add-Ons Fee when due. Client grants SR Pro a license to access, use, process, copy, transmit, store, export, display, and back-up Client information and Data for the purposes of enabling Client to access and use the Product and for any other purpose related to provision of services to Client

XIV. Back up of Data.

Client must maintain copies of all Data inputted into the Bizman.io platform. SR Pro adheres to best practice policies and procedures to prevent data loss, including a daily system data back-up regime, but does not make any guarantees that there will be no loss of Data. SR Pro expressly excludes liability for any loss of Data regardless of the cause.

XV. Customer Reference

Client acknowledges and accepts that SR Pro has the right to use Client’s name and logo to identify Client as a customer of SR Pro or User of the Product, on SR Pro’s website, marketing materials or otherwise by public announcements. XVI. Third-Party Components

The Product may utilize third-party components, which are subject to their respective licenses. The Provider will provide information on these components upon request.

XVII. Force Majeure

Neither party is responsible for delays or failure to fulfill this agreement’s terms due to causes beyond its control, which may include denial-of-service attacks, acts of God, war, terrorism, governmental action, or other extenuating circumstances.

XVIII. Indemnification

The Client agrees to indemnify, defend, and hold the Provider harmless against any and all claims of damage or loss without limitation except in cases of gross negligence or willful misconduct. SR Pro bears no responsibility for claims based on products and services, materials and items not provided by the Product, or any violation of law or third-party rights caused by Client’s and/or any of its Users’ violation of these Terms or applicable Law.

XIX. Product Warranty

Warranty Period: The Provider warrants that the Product will be free from defects for a period of [Warranty Period] from the date of final delivery.

XX. Support

During the Service Period, the Provider will provide reasonable technical support and assistance to address any issues related to the Product.

XXI. Support and Maintenance

The Provider shall provide adequate technical support to address any issues encountered by the Client while using the Product. Support may be given through designated channels, as communicated by the Provider to Client. The Client acknowledges that SR Pro may update and modify the Product from time to time, provided that such updates do not substantially diminish the Product’s core functionalities

XXII. Feedback

As a User of the Product, you may provide suggestions, comments, feature requests, or other feedback, and such Feedback is deemed an indispensable part of SR Pro Materials. As such, it is the sole property of the Provider without restrictions or limitations on use of any kind. The Provider may either implement or reject such Feedback without whatsoever restriction or obligation.

XXIV. Acceptable Use of the Product

Client may not make the Product available to anyone other than Client and its internal End Users. Client shall not reproduce, re-sell, modify, distribute, or similarly exploit the Product. This includes allowing end-user login to be shared by more than one individual. Client and its internal users shall not use the Product to violate any applicable law, any third party’s intellectual property rights, or anyone’s right to privacy or publicity. SR Pro may ask the Client to suspend the account of its internal end users who violate the Agreement or use the Product in a manner that the Provider believes is a security threat or may cause disruption to other users’ use of the Product. Should Client fail to promptly suspend or terminate such an End User’s account, the Provider reserves the right to do so.

In addition, Client and its end users may not utilize the Service to carry out, promote, or support any illegal or fraudulent activities. Violations of this Acceptable Use of the Product Policy. The Provider reserves the right to immediately suspend or terminate their account or access to the Product upon notice and without liability for SR Pro in the event that the end users fail to abide by this Acceptable Product Use Policy.

XXV. Limitation of Liability

In no event will either party be liable to the other party for any indirect, consequential, incidental, or punitive damages arising out of or in connection with this Agreement, even if advised of the possibility of such damages. The Provider is not liable to loss of profits, business interruption, or data loss arising from the use of the Product or from a party’s gross negligence or willful misconduct. Under this Agreement, the maximum liability of SR Pro will be limited to the total amount paid by Client for up to the twelve (12) months preceding the claim.

XXVI. Termination

Either party may terminate this Agreement with written notice if the other party commits a material breach of any provision of this Agreement and fails to cure such breach within [Number of Days] days after receiving written notice of the breach. In case of termination, Client shall be responsible for exporting or retrieving its data from the Product prior to the termination date. Upon termination, the access of Client to the Product will be deactivated. Any outstanding fees must also be settled by Client.

XXVII. Governing Law and Jurisdiction

This Agreement will be governed by and construed in accordance with the laws of Maryland. Any disputes arising under or in connection with this Agreement shall be subject to the exclusive jurisdiction of the courts located in Maryland, USA

XXVIII. Entire Agreement

This Agreement constitutes the entire deal between the parties and supersedes and replaces all prior oral or written agreements, understandings, or representations.

XXIX. Modifications

The Provider may revise this Agreement from time to time and will post the modified version on designated channels, including its website. By continuing to access or use the Product following the posted effective date of modifications to this Agreement, Client agrees to be bound by the Agreement’s revised version, except if you have a separate written agreement with SR Pro related to this matter
