Bizman Terms of Service

Bizman, referred to as the “Product,” is an advanced project management, collaboration, and time tracking solution meticulously designed to enhance team productivity and streamline collaborative workflows. 

 

These Terms of Service ("Terms") govern your use of the Bizman platform and its associated services. By accessing or using Bizman, you agree to be bound by these Terms. If you do not agree to all the terms and conditions of this agreement, you may not access or use Bizman. 

 

Definitions 

 

1.1. Bizman: Refers to the business management platform provided by [S.R Pro Marketing]. 

1.2. User: Any individual or entity accessing or using the Bizman platform. 

1.3. Services: Bizman offers users a comprehensive web-based work management tool. The platform provides a wide range of features and functionalities including but not limited to task management, time tracking, calendar, file storage, communication tools, password management, and various other services tailored to meet the diverse needs of our users. 

1.4. Client: Refers to the individual or entity entering into an agreement with SR Pro for the use of Bizman services. 

 

Account Registration 

 

2.1. Eligibility: Users must be at least 18 years old and capable of entering into a binding agreement to use Bizman. 

2.2. Account Creation: Users are required to create an account to access Bizman. Users must provide accurate and complete information during the registration process. 

2.3. Account Security: Users are responsible for maintaining the confidentiality of their account credentials and are liable for any activity occurring under their account. 

 

Payment Terms 

 

3.1. The client agrees to pay SR Pro the fees specified in the attached pricing schedule. The fees shall be paid on a [monthly/annual] basis and are subject to any applicable taxes. The client is responsible for providing complete and accurate billing information to SR Pro, including the purchase order number at the time of purchase if they require one. As for the annual subscription, you won’t be able to cancel with 30 days notice; however, for the monthly subscription, you can cancel with a 30-day notice. 

3.2. Late Payments: In the event of late payment, the client agrees that SR Pro may alert them and provide a grace period of 14 days to settle outstanding fees before taking further action. If any payment is not received within this grace period, SR Pro reserves the right to suspend or terminate the client's access to the platform without any liability. Amounts due are payable in the currency set forth in the applicable invoice and are non-cancelable and non-refundable unless otherwise provided in this Agreement. 

3.3. Renewal: Unless otherwise stated in the applicable order form, the client agrees that its subscription includes an automatic renewal option by default. This is to ensure that the client will not experience any interruption or loss of service. Hence, unless the client disables the auto-renewal option or terminates or cancels its subscription at least thirty (30) days prior to the renewal date, the subscription will automatically be renewed upon the end of the then-current subscription term. 

 

Confidentiality 

 

The Provider agrees to hold every detail of the product development for the Client as proprietary and confidential. Client acknowledges that Provider may store and process their data in accordance with applicable data protection laws. The Provider will implement and maintain reasonable administrative, organizational, and technical safeguards designed for the protection, confidentiality, and integrity of Customer Data. No aspect, product details, assets, or any confidential information provided to the Provider by the Client shall be disclosed to any party without prior written consent from the Client, except as required by law or as necessary to provide the platform services. To be more specific, "Confidential Information" refers to any non-public information disclosed by either party to the other party, either directly or indirectly, during the term of this Agreement. Confidential Information does not include information that is publicly available or becomes publicly available through no fault of the receiving party. 

4.1. Data Protection and Privacy: Provider shall comply with all applicable data protection and privacy laws in handling Client's data. Provider will not use Client's data for any purpose other than providing the agreed-upon services. 

4.2. Data Retention: Provider agrees to retain Client's data for the duration of the agreement and for a reasonable period afterward as necessary for legal or compliance purposes. 

 

Use of Services 

 

5.1. Permitted Use: Users may use the Services provided by Bizman for lawful purposes only. Users agree not to engage in any activity that violates applicable laws or infringes upon the rights of others. 

5.2. Prohibited Activities: Users must not misuse the Services, including but not limited to: 

Attempting to gain unauthorized access to Bizman or its related systems. 

Interfering with the proper functioning of Bizman. 

Engaging in any activity that may compromise the security or integrity of Bizman or its users' data. 

5.3. Intellectual Property: All content and materials available on Bizman, including but not limited to text, graphics, logos, and software, are the property of [S.R Pro Marketing] or its licensors and are protected by intellectual property laws. 

5.4. Acceptable Use of the Product: Users are prohibited from misusing Bizman, interfering with its proper functioning, or compromising its security or integrity. This section expands on specific behaviors that are not allowed, emphasizing compliance with legal standards and respect for intellectual property. 

5.5. Usage Reporting: SR Pro reserves the right to collect usage data to improve the quality of services and enhance user experience. 

  

Privacy and Data Security 

 

6.1. Privacy Policy: Users acknowledge and agree to the terms outlined in the Bizman Privacy Policy, which governs the collection, use, and disclosure of personal information. 

6.2. Data Security: [S.R Pro] employs industry-standard security measures to protect user data. However, users acknowledge that no method of transmission over the internet or electronic storage is entirely secure. 

Third-Party Services 

7.1. Integration: Bizman may integrate with third-party services to enhance its functionality. Users acknowledge that their use of third-party services is subject to the terms and conditions of those services. 

7.2. Disclaimer: [S.R Pro Marketing] is not responsible for the availability, accuracy, or reliability of third-party services integrated with Bizman. 

Termination 

8.1. Termination by User: Users may terminate their account at any time by following the instructions provided on Bizman.  

8.2. Termination by [Bizman]: [S.R Pro Marketing] reserves the right to suspend or terminate user accounts for violations of these Terms or for any other reason deemed necessary by [S.R Pro Marketing]. 

8.3. Termination for Cause: Either party may terminate this agreement immediately if the other party breaches any material term of this agreement and fails to remedy such breach within 30 days of receiving written notice of the breach.  

8.4. Termination for Convenience: Client may terminate this agreement at any time by providing 30 days written notice to SR Pro. 

 

Limitation of Liability 

 

9.1. DISCLAIMER: BIZMAN IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS, WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED. 

9.2. LIMITATION OF LIABILITY: [S.R PRO MARKETING] SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES ARISING OUT OF OR IN CONNECTION WITH THE USE OR INABILITY TO USE BIZMAN. 

9.3. DIRECT DAMAGES: NOTWITHSTANDING ANYTHING TO THE CONTRARY, SR PRO'S TOTAL LIABILITY FOR ANY CLAIMS ARISING OUT OF OR RELATED TO THIS AGREEMENT SHALL NOT EXCEED THE TOTAL AMOUNT PAID BY CLIENT TO SR PRO UNDER THIS AGREEMENT DURING THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM. 

 

Support and Maintenance  

 

10.1. The Provider shall provide adequate technical support to address any issues encountered by the Client while using the Product. Support may be given through designated channels, as communicated by the Provider to Client. The Client acknowledges that SR Pro may update and modify the Product from time to time, provided that such updates do not substantially diminish the Product’s core functionalities. 

10.2. Feedback: As a User of the Product, you may provide suggestions, comments, feature requests, or other feedback, and such Feedback is deemed an indispensable part of SR Pro Materials. As such, it is the sole property of the Provider without restrictions or limitations on use of any kind. The Provider may either implement or reject such Feedback without whatsoever restriction or obligation.

 10.4. Ownership of Feedback: Feedback provided becomes the sole property of S.R Pro without restrictions or limitations on use of any kind.  

10.5. Usage of Feedback: S.R Pro may implement or reject Feedback without any restriction or obligation.

Modifications to Terms 

 

11.1. Changes: Bizman reserves the right to update or modify these Terms at any time without prior notice. Users are responsible for reviewing the Terms periodically for changes. 

11.2. Acceptance of Changes: Continued use of Bizman after the posting of any changes to these Terms constitutes acceptance of those changes. 

11.3. Notice of Changes: Bizman will notify Client of any material changes to these Terms via email or through the Bizman platform.  

 

Dispute Resolution 

 

12.1. Mediation: In the event of any dispute or disagreement arising out of or in connection with this agreement, the parties agree to attempt to resolve the dispute through mediation, contacting us at support@bizman.io and providing a brief, written description of the dispute and your contact information (including your company name, if it's related to the dispute). Except for intellectual property and small claims court claims, the parties agree to use their best efforts to settle any dispute, claim, question, or disagreement directly through consultation with Bizman, and good faith negotiations shall be a condition to either party initiating a lawsuit.
